These Terms and Conditions ("Terms") govern the supply of services and goods by Kmada Lift Services ("the Supplier," "we," "us") to you ("the Customer," "you"). By ordering any of our services or goods, you agree to be bound by these Terms.

1. Application and Entire Agreement
These Terms apply to the purchase of services and goods by you from us. They are intended to form the entire agreement between the parties and will apply to the exclusion of any other terms that would otherwise apply. You will be considered to have accepted these Terms when you accept a quotation, accept the Terms themselves, or from the date that services commence or goods are delivered.

2. Interpretation
"Business Day" means any day other than a Saturday, Sunday, or bank holiday in England. "Goods" refers to any items supplied by us in connection with our services (e.g., lift parts). "Services" refers to the lift maintenance, repair, installation, and modernisation services we provide.
3. Services & Goods
We promise to exercise reasonable care and skill in the performance of our services and to comply with agreed quotations and specifications. We may make changes to service provisions if necessary to comply with applicable laws or safety requirements, and we will notify you if this occurs. We will attempt to complete services within agreed timescales, but time is not essential to our obligations. These Terms apply to both goods (e.g., ancillary goods) and services unless specified otherwise.
By accepting a quotation, you acknowledge that you have not relied on any representations we have made about the goods or services, and that descriptions in our sales documentation are guides only. We may alter goods if required to conform to any laws (e.g., safety laws).
4. Your Obligations
You must obtain all necessary permissions, consents, and licences, and provide access to relevant information and materials required for us to perform the services. Your failure to comply with this may lead to the termination of service provision. We are not responsible for delays or failures in service delivery due to your non-compliance.
5. Price & Payment
Prices are as set out in our quotations or agreed in writing. Prices are exclusive of VAT at the rate applicable at the time of the Order, unless otherwise stated. Packaging and delivery costs may be extra. We reserve the right to increase prices before delivery if required due to factors beyond our control (e.g., increases in material costs or delivery rates).
Invoices will be delivered as agreed and must be paid within [e.g., 30 days] of receipt. We may suspend further deliveries or charge interest on overdue payments at if payment is not made. [1, 2]
For new installations, payment of 30% of the contract value may be due on order, and 50% upon commencement of manufacture. [1, 2]
6. Cancellation & Amendment
Our descriptions of goods or services in sales documentation do not constitute offers to sell. We must accept orders or offer specific quotations for a contract to be formed. Quotations are valid for a specified period (unless withdrawn). Parties' rights to cancel orders before a contract is formed are highlighted.
7. Liability & Indemnity
Our liability under these Terms is limited to the total fees paid by you under the contract. We are not liable for indirect or consequential losses, loss of profits, data, or reputation. You indemnify us for any damages or expenses arising from your actions or negligence. Our liability is not limited for cases of personal injury or death due to negligence or fraudulent misrepresentation.
8. Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
